1. Independent Contractor

The Affiliate is an independent contractor and is solely responsible for all taxes on any compensation paid by systemHUB. Nothing in these terms creates any employment, partnership, agency, or joint venture relationship between the Affiliate and systemHUB.

2. Eligibility

To participate in the Program you must:

• Be at least 18 years old and able to enter a binding contract;
• Provide accurate contact, tax, and payment information;
• Comply with all applicable laws, including consumer protection, anti-spam, advertising, and tax laws in your jurisdiction;
• Not be a current systemHUB employee, contractor, or immediate family member of one.

systemHUB reserves the right to suspend or terminate any Affiliate account that does not meet these eligibility requirements (see Section 10).

3. Commission Structure

systemHUB compensates the Affiliate for introducing new paying customers to systemHUB software subscription plans (Starter or Accelerator) using the unique referral link provided in the affiliate portal.

The commission rate is 25% of every monthly subscription payment for the first 12 months of each referred customer’s active subscription. There is no cap on the number of referrals or total commission earned.

Commission applies to subscription revenue only and excludes taxes, refunds, chargebacks, and payment processor fees. Commission is not paid on:

• SYSTEMologist Certification course fees;
• Systems Champion Accelerator (Champion-tier) subscriptions and any other coaching or implementation programs;
• One-off services, custom engagements, or training fees;
• Refunded, charged-back, or fraudulent transactions;
• Self-referrals or referrals to accounts you personally control;
• Existing systemHUB customers or accounts previously attributed to another affiliate within an active attribution window.

Certified SYSTEMologists

Certified SYSTEMologists are eligible to participate in the Program on the same terms as any other Affiliate. SYSTEMologists who wish to resell systemHUB to their own clients as part of a packaged engagement may instead access the SYSTEMologist Wholesale Programme (50% off retail) — please contact [email protected] for details. The two arrangements are mutually exclusive on the same client account.

4. Tracking & Attribution

Attribution is handled by our affiliate platform, Reditus, using a first-party cookie set when a visitor clicks your unique referral link.

• The cookie window is 60 days from the most recent click on your link. If a visitor clicks multiple affiliate links, the most recent click takes attribution and resets the cookie.
• Attribution requires the referred customer’s signup email to match the click cookie. If a visitor clears cookies, switches devices without re-clicking, or signs up using a different email address, attribution may not be possible.
• systemHUB is not liable for lost attribution due to customer behaviour, browser settings, or third-party tracking blockers.

5. Payment Terms

• Commissions become payable 30 days after the referred customer’s payment is received, to allow for the standard refund window.
• Payments are processed monthly via the Reditus affiliate platform using PayPal or Stripe Connect, depending on your country of residence.
• The minimum payout threshold is $50 USD. Balances below this amount roll forward to subsequent months until the threshold is met.
• Affiliates are responsible for all taxes on commissions paid. systemHUB does not withhold tax. You agree to provide valid tax documentation (W‑9, W‑8BEN, or local equivalent) on request.
• If a referred customer’s subscription is refunded, charged back, or cancelled within the refund window, the related commission will be reversed.

6. Affiliate Obligations

You agree to:

• Promote systemHUB honestly and accurately, using current language and visuals from the affiliate portal or the approved systemHUB brand kit;
• Clearly disclose your affiliate relationship in all promotional content in compliance with the FTC Endorsement Guides, ASIC guidance (Australia), the ASA (UK), and any other applicable rules — for example: “I earn a commission if you sign up via this link”;
• Maintain accurate contact, payment, and tax information in your affiliate portal account;
• Respond to systemHUB compliance enquiries within 7 days.

7. Prohibited Activities

You may not:

• Bid on the terms “systemHUB”, “system hub”, “SYSTEMology”, or close variants in Google Ads, Bing Ads, or any paid search platform;
• Use the systemhub.com domain (or close variants) in your display URL or ad copy;
• Engage in cookie stuffing, iframe injection, forced clicks, or any artificial inflation of clicks or signups;
• Send unsolicited email (spam) promoting systemHUB. All email promotion must comply with CAN‑SPAM, GDPR, the Australian Spam Act, and any other applicable laws;
• Offer cash rebates, kickbacks, or other inducements to people who sign up via your link, unless explicitly approved in writing;
• Create coupon-site listings or “systemHUB coupon” pages without prior written approval;
• Refer yourself, your own businesses, or accounts you control;
• Make false, misleading, or unsubstantiated claims about systemHUB’s features, pricing, results, or performance;
• Use systemHUB trademarks in domain names, social handles, app names, or in any way suggesting an official partnership beyond “Affiliate”;
• Promote systemHUB on sites containing illegal, adult, hateful, gambling, or otherwise objectionable content.

Breach of any prohibited activity is grounds for immediate termination and forfeiture of unpaid commission.

8. Intellectual Property & Brand Use

• systemHUB grants you a non-exclusive, revocable, royalty-free licence to use the marketing assets, logos, copy, and graphics provided inside the affiliate portal, solely to promote the Program.
• All systemHUB trademarks, copy, designs, code, training material, and underlying intellectual property remain the property of systemHUB.
• You may not modify systemHUB logos, alter approved copy in misleading ways, or create derivative works without written approval.
• You grant systemHUB the right to list your name, business name, logo, and website link on a public “Our Affiliates” page or related marketing — unless you opt out by emailing [email protected].

9. Confidentiality

You may receive non-public information about systemHUB, including pricing, product roadmaps, customer lists, or referral data. You agree to keep this information confidential, use it only for the Program, and not disclose it to third parties without written consent. This obligation survives termination of the Program.

10. Term & Termination

• Either party may terminate the affiliate relationship at any time, with or without cause, by written notice (email is sufficient).
• systemHUB may suspend or terminate your account immediately for breach of these terms, suspected fraud, or behaviour that damages the systemHUB brand.
• On termination, any commission already earned and not in dispute will be paid in the next regular cycle, subject to the minimum payout threshold. Commission earned but unpaid will be forfeited if termination is for breach.
• You must stop using systemHUB trademarks, marketing assets, and referral links immediately on termination and remove them from your properties within 14 days.

11. Disclaimer & Liability

• The Program is provided “as is”. systemHUB does not warrant any specific level of earnings or referrals.
• To the maximum extent permitted by law, systemHUB’s total liability to you in connection with the Program is capped at the total commission paid to you in the 12 months preceding any claim.
• Neither party is liable for indirect, consequential, special, or punitive damages.

12. Changes to the Program

systemHUB may update these terms, the commission structure, cookie window, payout schedule, or any other element of the Program at our discretion. We’ll notify you by email to the address on file at least 14 days before material changes take effect. Continued participation after the effective date constitutes acceptance.

13. Governing Law

These terms are governed by the laws of Victoria, Australia. Any dispute will be resolved in the courts of Victoria, unless local consumer law in your jurisdiction provides otherwise.
